How Axiom is building a North American growth engine through M&A

A fragmented market, increasing regulatory complexity and a scalable operating model convinced Axiom that North America represented a major opportunity. Now the business is building an integrated GRC platform through acquisition with Inflexion’s support.

For many acquisitive businesses, international expansion can be particularly tricky. New markets bring different regulatory environments, customer expectations, and often entirely new competitive dynamics. But these challenges can be precisely what make perseverance worthwhile, with Axiom GRC pursuing M&A to broaden its governance, risk and compliance (GRC) capabilities and accelerate international growth.

Inflexion carved out Marlowe plc's GRC assets in 2024 to create Axiom. The business is a provider of software and tech-enabled services to manage business risks and ensure customers remain compliant with legal and regulatory standards. Today Axiom serves more than 40,000 clients worldwide including Bentley, Walmart, Shell Energy and Sony.

The business was no stranger to inorganic growth – since it was initially founded in 2019, it has undertaken a number of acquisitions, including seven since Inflexion’s investment. It is thus well versed in what is needed, as well as the benefits: the M&A brought Axiom into over eight adjacent GRC verticals and expanded its offering across areas including cybersecurity, regulatory intelligence, compliance eLearning and data privacy.   

International expansion is now an increasingly important part of that strategy, with North America representing a significant opportunity, and Axiom announcing its third acquisition on the continent in June.

“A key attraction in partnering with Inflexion was their belief in our international ambitions,” says Alex Dacre, CEO of Axiom. Following the investment, they spent time validating North America as the right geography to pursue, not least because the market is around 5x larger than the UK, yet much more fragmented. There are strong businesses operating in individual areas, but not many bringing together governance, risk and compliance under one roof – giving Axiom confidence there was a real opportunity to replicate the integrated model they have built in the UK.

“Our products travel well because many of the regulations our customers need to comply with, particularly in areas such as cybersecurity, are broadly similar. We couldn’t find another business offering the same one-stop-shop proposition that Axiom provides, and so we saw a gap for an integrated GRC provider. The opportunity is to create something broader and more connected than the market typically offers today.”

How Axiom entered North America

Axiom began its search for a platform in North America in early 2025, shortly after it became independent and with Inflexion’s expertise and financial firepower powering it. The business screened more than 500 companies and met over 50 management teams before identifying IS Partners, a provider of audit, attestation and compliance services. 

A highly competitive and crowded buyer market made differentiation crucial, and Axiom did this by selling itself as a strategic partner combined with a high degree of operational autonomy. This included access to Axiom’s global customer base and wider expertise across functions such as technology, pricing and marketing, while also allowing management to retain a meaningful role in the next stage of growth. As a non-US buyer seeking a platform rather than immediate consolidation, Axiom was also able to position itself as a long-term growth partner.

The IS transaction strengthens Axiom’s capabilities in cyber assurance and compliance — areas where the US market offers significant long-term growth potential. Inflexion’s team supported sourcing and the relationship-development effort. Axiom has also accelerated its US cyber compliance expansion through its acquisition a few months later of AssurancePoint, a specialist provider of SOC and ISO audit and advisory services for mid-sized organisations. Axiom further accelerated its North American expansion through the acquisition of MHM in June, establishing a foothold in Canada and enhancing its ability to deliver a broader, integrated cyber assurance and compliance offering across the region.

Together, these acquisitions are helping Axiom build a multi-framework cyber assurance business. “We don’t want to offer customers just two or three standards – our ambition is to support them across the full spectrum of cyber assurance and audit needs,” Alex explains.

Integration after acquisition has been equally important. Eight months after completion, IS Partners is already delivering against plan, with the business on track to grow by around 60% this year, including M&A activity. Alongside governance improvements and investment in back-office capabilities, Axiom has accelerated commercial activity through marketing investment, sales enablement and cross-selling initiatives. The subsequent acquisitions of AssurancePoint and most recently MHM are expanding local capabilities further.

The importance of local support

The pace of M&A belies the effort.

Having Inflexion on the ground in North America has been valuable. “As we have built scale, that local presence has made conversations with acquisition targets easier and helped us establish a reputation in the market,” Alex explains, adding that Ben Meyer’s network and credibility within the investment banking and corporate finance community have been particularly helpful.

“The first acquisition was naturally the hardest because we had limited presence in the market. But as we have grown our footprint, momentum has started to build. We’re beginning to establish a reputation in North America and that is making future conversations easier.”

Looking ahead, Alex explains the key focus is continuing to grow organically, particularly through go-to-market improvements and cross-selling, and there are a few acquisitions in the pipeline in North America. “We see excellent runway ahead for Axiom as they continue to grow. Our thesis at the time of the carve-out was about expanding offering and footprint, and we are working hand in glove together to ensure that happens in a successful and sustainable way,” says Isabelle Pagnotta, Partner and Head of Business Services at Inflexion. Indeed Axiom is looking to double the size of its US operation over the next 12-18 months.

And the backdrop is favourable. “From a regulatory perspective, North America is at an interesting point of development. It’s become more complex and the burden of compliance is increasing, so it has attractive long-term characteristics for Axiom.”

Local presence to support North American expansion

Inflexion has supported over 650 acquisitions for its portfolio, a quarter of which have been international and over 40 in North America.  

Inflexion’s dedicated team of nine professionals based in New York is focused primarily on supporting Inflexion portfolio companies and new European investments accelerate their North American market entry through strategic acquisitions and other US angles. 

The local presence is key to succeeding in a market as large, active and generally more competitive than the UK / European market.

Since the New York office was opened, eight of Inflexion’s portfolio companies have been supported in their North American M&A, including Axiom and Ocorian, a fund administrator which made the transformational acquisition of E78 Fund Solutions
