Inflexion acquires ICS

Independent Clinical Services (“ICS”) is the leading provider of temporary healthcare staff, specialising in placing scarce senior and high grade nurses into the UK healthcare sector.

Founded in 1983 as a provider of private nursing services within the Bristol area, ICS has over the past 25 years developed a pool of over 20,000 highly qualified medical professionals which it supplies to a variety of healthcare organisations, including NHS and private hospitals and for the provision of complex care in the community.

ICS has carved out a niche position in the market as the “provider of last resort”, a result of its ability to fulfil customer requests with far greater success rates than any of its competitors. ICS placement rates are typically circa 90%, compared to the market average of circa 30%. It ensures the excellent placement rates through an advanced centralised call centre and a database of highly skilled, mobile nurses.

In addition to supplying nurses into hospitals, ICS’s rapidly expanding complex community care business provides nursing services to patients in their homes. The home healthcare market is expected to grow significantly over the next decade due to a number of government initiatives and demographic factors. ICS also has a third business providing temporary doctors to the public and private sector.

ICS represents an opportunity to invest into a well-established, operationally robust, highly regarded company with an ongoing experienced senior management team and the potential for significant organic and acquisitive growth.

As a result of Inflexion’s active interest in the Healthcare sector, Inflexion was one of a few pre-selected potential purchasers approached by the vendors. Once exclusivity had been granted, Inflexion took under four weeks to complete the transaction, made possible by the detailed preparation and strong commitment of the Inflexion team. The deal was led by John HartzGareth Healy and Nicola Boyd on behalf of Inflexion. Both John and Gareth will join the ICS Board of Directors. Inflexion has taken a majority equity share alongside the management team with debt facilities provided by RBS.
